IP agreements
We provide advice in relation to all transactions involving intellectual property rights. The contracts may vary from simple NDAs required for exploratory discussions or to protect a registrable design before your application has been filed, to service agreements or the transfer of IP assets from one corporate entity to another. Many of our clients collaborate with third parties to promote their products or engage with creative companies on packaging designs, advertising materials or bespoke software. We will support the process from strategy to drafting and negotiation. We will oversee the entire commercial transaction and in particular ensure that brands and designs are properly protected, and that there is clarity as to who will own the intellectual property in any new works which might be generated.
Licensing
Licences play a particularly important role in commercialising IP. The terms of the licence will determine the scope of the rights granted, and they will be crucial to the client’s ability to enforce their rights. IP licenses may also be included in a broader agreement such as a manufacturing or distribution agreement.
Mergers & acquisitions
If you are preparing a company for sale or significant investment, we will assist by ensuring that your intellectual property strategy is fit for purpose through appropriate protection (designs, trade marks and patents). We will make sure that trade mark and design registration portfolios are up to date, and that the relevant rights are owned or licensed to the business from third party providers.
Due diligence
We provide specialist advice for due diligence, including on IP warranties and indemnities and carrying out IP due diligence on a target company.
