We have in-depth expertise in complex transactions involving multiple stakeholders, with our assistance encompassing evaluating multiple positions through the lens of our client’s objectives. 

Multi-party

As an example, we have worked with collecting societies on a project involving negotiating new mandates across the creative industries. We have also advised on data aspects of a take over of a clinical trial by a new sponsor involving regulatory, academic, medical and commercial stakeholders.  Other projects includeassisting a medical association with evidence for the Covid-19 Enquiery, M&A, and rights clearances in the advertising industry with layers of rights owners, intermediaries, creative agencies and end clients. Our role will involve advising on accurately recording commercial arrangements, and, importantly, tracking them so that they are correctly reflected across agreements with multiple parties.

International

Complexity may also arise from contracting parties and stakeholders being based in different jurisdictions.  To address this, we work with a local advisors to advise on comparative differences in laws governing the transaction.

New business models

In some cases, complexity stems from the use of innovative technology which needs to be captured through the regime of IP rights, or for which there are no firmly established ways of commercialization. Examples include artificial intelligence,  collective rights management and format rights protection.

Fast-paced regulation

Finally, complexity may arise from fast-changing regulation or interpretation of the law.  This may be true, for example, for online platforms. We offer advice to the platforms and their users on how to navigate legal uncertainty.
