Non-Disclosures Agreements
Confidentiality agreements, or NDAs, are commonplace in business.
Often, however, they are signed without due consideration or under pressure to secure a client or a job. In such cases, whilst they may provide comfort they may not provide as much protection as envisaged. We advise clients how to put in place robust measures protecting know-how both operationally and by contract.
Breaches of Confidence
Breaches of confidence can occur in a number of situations such as when an employee leaves to join a competitor, or information disclosed in the hope of a future joint venture is then misused without recompense for, or recognition of, the person who disclosed it. There may be a contractual or equitable breach of confidence.
Breach of confidence can also form part of a more complex agreement or a more complex dispute with broader commercial issues and/or intellectual property rights at play.
